CALIFORNIA EXECUTIVE AGREEMENTS AND SEVERANCE AGREEMENTS LAWYERS

When an employer or potential employer presents you with an agreement it is often advanagerous to obtain legal advice concerning the agreement prior to entering into the agreement. Often such agreements contain material terms that can be negotiated.

Executive Compensation:  If you are being offered an executive compensation agreement, there are likely to be a number of  issues that may arise, including: 

        •Arbitration provisions 
        •Change of control clauses 
        •Confidentiality clauses 
        •Deferred compensation 
        •Good cause limitations on termination
        •Non-solicitation clauses 
        •Restrictive covenants 
        •Scope of right to discharge (e.g., for cause limitations and definitions of for cause) 
        •Severance benefits

If you are being asked to sign a severance agreement, other issues are likely to arise. Severance packages are often subject to negotiation. You do not have to accept the package as offered. We may be able to help you get a better severance package, not only for more compensation, but also changes to other restrictive clauses.

Severance Agreements:  Severance agreements may provide a number of benefits to a laid off or terminated employee, including continued salary, outplacement job search assistance, and a continuation of health insurance and benefits.  Usually, such benefts come in exchange for your agreement not to sue your employer and rto elease actual or potential claims.   However, there may also be other terms that may impact your ability to start a new business or join a new employer.  For example, severance agreements may obligate you to terms that are not acceptable, such as a non-compete or non-solicitation clause that could impact your ability to find a new job or start a new business. You need to understand all such terms to determine if the severance agreement is something you wish to sign.
